Our company secretary will conduct a name search and application first. Upon approval of name, we will then proceed to incorporate your Sdn Bhd.

It normally takes between 2-5 working days, but is subject to approval from SSM.

Yes, however you need a minimum of one director who resides in Malaysia. If you intend to employ foreigners in the company you should be aware of the requirements for minimum paid up capital.

Yes you can if the name is not taken. However, you are required to provide a justifcation for the name.

You need a minimum of one (1) Director who has turned 18 years of age and is residing in Malaysia. You can find more information in the company incorporation checklist.

Here are some of the requirements to register a Sdn Bhd:
– A minimum paid up capital of RM1.
– At least one director of a minimum age of 18 years old and residing in Malaysia.
– All directors should not be bankrupt nor have been convicted in Malaysia within the last 5 years.
– Appoint a company secretary within 30 days of successful incorporation

You may register your company with your residential address. If you wish to change your business address after the company is incorporated, you may do so by submitting a request on our web application. The change will be registered once it is recognised in the SSM system.

The registered office address is the address of where the statutory documents of your company is stored. This address is not to be used as a business address for your company.

An enterprise is a business registered with Registration of Business and is governed under Registration of Business Act. An enterprise is simple and easy to register, many business owners are attracted to its simplicity and convenience, yet having full control of the business income. It is only available for Malaysian citizens or permanent residents (PRs). In the event where the business is to declare bankrupt or has outstanding creditors of huge amounts, the business creditors are able to go after the owner of the business and his or her personal finances and assets.

A Sdn Bhd is a company registered with the Registration of Companies and is governed under Companies Act. Unlike an enterprise, a Sdn Bhd is a limited entity and is separated from the owner(s) – which means the shareholders have limited liabilities and are only responsible for any company debts up to the amount that was invested and the funds in the company. It can have a minimum of one shareholder to a maximum of 50 shareholders. This business entity is open to non-Malaysians who are interested to venture their business in Malaysia.

Yes, the director and the shareholder can be the same person.

SSM requires every Sdn Bhd to appoint a company secretary within 30 days of establishment.

The Malaysia Standard Industrial Classification (MSIC) code is a numeric code developed by the Department of Statistics of Malaysia that classifies business activities in an organised manner.

Here are the details and documents needed to appoint a corporate shareholder:
– Details and a copy of identification of the corporate representative.
– Company Certificate of Incorporation (Section 17/ Form 9)
– Resolution & Letter of appointment of corporate representative

Post Incorporation

Upon incorporation, you  will be issued Section 14/ Superform (prev. Form 24, 44 and 49), Section 17/ Certificate of Incorporation (prev. Form 9) and Section 15/ Notice of Registration from SSM.

A newly incorporated company has up to 18 months to file its first submission from the date of incorporation. The financial year end of the company can be set at any month within the 18 months.

You can send the request via the web application. Our company secretary will prepare the documents needed for bank application which then we will mail the documents to your mailing address for bank account opening.

It is recommended for business owners to conduct research on the type of licenses or requirements with the relevant ministries in Malaysia before the incorporation and start applying for the required requirements if needed.

You are required to submit annual return and audited financial statements (audited accounts/reports) to SSM.

You can send your request to our company secretary via the web application. The company secretary will arrange the documents to be certified. The client will be informed once the documents are ready for collection.

Appointing Company Secretary

Yes you can change your existing company secretary. We will prepare a notice of termination for your current company secretary. Our company secretary will liaise with your current company secretary to prepare documents for change of company secretary.

You need to provide the following documents:
– Section 14 Application for Registration of Company
– Section 15 Notice of Registration
– Section 17 Certificate of Incorporation

We are based in Kuala Lumpur, please do note that is advisable to appoint secretary residing in Sabah, as in order to participate in Government projects in Sabah, the Secretary must be located in Sabah.

Additional time and costs may incur to send documents that require compulsory signatures from Directors/ Shareholders for the banks or authorities.

A company secretary is appointed by a company to help the company to store and prepare any documents related to the company, e.g. compliance documents with SSM, supporting documents for applications/ registrations with authorities or banks.

The fee for the registered office address covers the provision of storing your compliance documents at our office HQ in accordance with the SSM requirements.

Our office is in Bukit Jalil (full address on our contact page) however you are not required to come to our office as we handle work fully online. If you need to sign documents we will send them to your address or you are welcome to come to our office to sign them.
